How To Register Beijing Company

I (Tsinghua graduate student) registered a company in November last year, but later did not.

1. Preparation work

There are two places to know, one is the Haidian industry and Commerce Bureau (hereinafter referred to as the Haidian Bureau), and

2. Fill in the form.

First, read these forms carefully. You'd better fill them out at once. But generally speaking, it's impossible to run two times. If you are careless, you should pay attention to exercise and prepare to run.

When you fill in the form, you can copy the instructions in the Interim Provisions. The explanation is that you can do business except for legal restrictions or prior approval.

Now it is not necessary to write specific business scope, which is called international integration.

The proof of the residence of the filling company is rather troublesome. See the instructions below.

3. Find a place to register.

This is the most troublesome part of the registration process. If it doesn't work, don't go ahead, so as not to waste time.

There are three roads, one illegal and two legal.

(1) illegal.

Find an intermediary, probably spend 1000-2000 yuan, let him give you the seal on the residence certificate of the registration form, but be careful to be cheated, because the requirement of the unit qualification of the seal is relatively large, first of all, it is necessary to have the license certificate for the house to rent, and then the real estate certificate is very troublesome.

(2) spend money on decent office buildings.

The office building is very familiar with this set, he helps you fill in the form.

It doesn't have to be said.

(3) the most money - saving and legal way, but it depends on your luck.

It is in your team members to see if anyone has bought a commercial housing (house on the line), or find a friend who bought a house, using his house as a registration site.

It's okay to repay a loan without a property certificate.

But the procedure is rather cumbersome.

First, you get a copy of the pre-sale contract and a copy of the invoice for the purchase of the house; then you can get a copy of the license for the commercial housing of the developer, and the official seal of the developer. The third is to find a proof that the district property or the neighborhood committee is not disturbing the people, that is to say, you are running the company at home, ensuring that the property or the neighborhood committee is not stamped.

The first, second document is relatively easy to handle, and the third one is troublesome. At that time, the members of our house made his wife go to the property mill for three trips before fixing it.

With these things settled, there is no problem with the industry and commerce.

4. Make capital verification report.

First, explain the issue of registered capital.

In Zhongguancun science and Technology Park (including many places, Zhongguancun area is one of them, other areas) check up registered high-tech companies, if the registered capital <50 million (not equal to).

Then there is no need for any real capital.

If it is greater than or equal to 500 thousand, it is necessary for an asset appraisal office to make an evaluation of high and new technology and make an evaluation report.

Zhongguancun science and technology park has a new clause (more than a year).

Registered as a high-tech company, the registered capital can be invested by 100% of the non patented technology.

That is, you can use your own technology or fabricate to make registration funds.

We wrote a specification for a software system on the basis of the feasibility report form, about 2-3 pages of B5, and could not remember it clearly, then all shareholders signed it at the end.

In addition, write an instrument (forget what name is forgotten, in the Interim Provisions of some documents, also can go to the industry and commerce to ask).

The main idea is that the technology is jointly owned by us, and now it is used to register the company. We think it is worth 300 thousand and each person accounts for a few percent.

Each shareholder autograph, take these two things and registration forms, and find the accounting firm to make capital verification reports. I was looking for a regular accountant office on the third floor of the Haidian Bureau, asking them to give you capital verification reports.

I should have asked them to do the first example of this kind of capital verification. Now they should be familiar with this business.

In accordance with 5/1000 of the proportion of fees, registration 300 thousand will receive 600 yuan.

Finally, they will give you two capital verification reports, one for business and one for yourself.

Here, the registered capital has been settled. Only 600 yuan is spent to settle 300 thousand of the companies, and it is legal. There will be no trouble in the future.

5. About articles of Association

This thing should be done by itself, in fact, it is to make some modifications on the model of the constitution, to list the scope of operation, the names of shareholders and the proportion of shares. In addition, it is to modify some provisions of the model according to some rules of shareholders' internal consultations, and note that the amended terms can not conflict with the terms of the model. For example, the model says that through certain resolutions, 2/3 or more shareholders must agree, and you can not change it to 1/2 shareholders' consent, but can be changed to 4/5 shareholders.

Be careful in doing this or get ready to run.

I was very careful at that time, but I took it back and changed it once again.

6. Intersection table

After completing the above documents, you can go to the service center. After you hand in the form, the staff will check your documents carefully (really carefully). If you find something wrong, he will list them in a form, and then let you go back to change. Generally speaking, if you are more serious, you can get it done at the most time.

When the staff has collected all your documents, he will give you a notice of acceptance, saying that you will take the photo three days later, then you can basically say that it has been settled.

7. Take photos

Take the notice of acceptance, the original of the legal person's representative and his identity card, and go to the service center to take photos.

To pay some money, it is probably about dozens of work costs. In addition, it is necessary to make a statement of business in the media designated by the trade and Industry Bureau. In fact, it is to pay for the industry and commerce. He helped you do it. It is about 400 yuan.

It seems that we have to pay one more money, but forget it, but it will not exceed 500 yuan.

All these money must be paid, and the industrial and commercial invoices.

8, engraved chapter

After the photo is taken, the office of the public security bureau is located at the service center, and the original of the original license and the identity card of the legal person can be obtained.

He only registers and seals on it, and then gives you an engraving company appointed by the Public Security Bureau (each area has one, he will appoint an address closest to you), and will take the chapter three days later.

Usually at least three, one is the official seal, one is the contract special seal, the other is the finance special seal (must be the copper chapter, the bank request), moreover, it is best to engrave the legal representative's personal seal together, and then sign the check what to use.

The cost of engraving is about 400 yuan.

Here, the company registration is settled.

9. Tax administration

This does not belong to the registration process, but tax registration is required within one month after registration. Otherwise, it is likely to be issued.

In addition, the tax requires your company to have full time accountants, only he can do tax.

This is rather troublesome.

But there are solutions.

In fact, when you take the photo, there will naturally be a person in charge of the accounting agency to catch your eye and offer you a business card to help you.

But at the beginning of tax registration, you have to run together (or go to the service center).

After the completion of the operation, he collected 300-400 agency fees every month.

Just ask yourself, so many companies have gone.

Because we didn't do business at the beginning, because there was no investment, so I didn't do these things.

I don't know if the tax is fine.

10, postscript

For a friend who only wants to register a company and does not plan to do well, there are several personal suggestions to make sure.

It is not very simple to register a company. The registration process is not a matter of fact. The key is whether the latter business can be legally carried out.

In addition, what kind of social security and wage registration procedures have I done? It is not very clear, but for a legitimate company, these are all needed.

If there is a problem, business, tax, public security and so on may all trouble you. Of course, you have the energy to deal with it. It's another matter. If you are still a student in school, I am afraid you will not be able to afford it.

Shortly after we registered, people from the industry and Commerce went to our registration place to see how they were furnished at home.

In addition, a friend of mine registered a false residence certificate. Later, it seemed that he had been fined more than 40 thousand.

Therefore, friends who want to register must consider clearly.

11, supplementary explanation

(1) student identity can also be a legal representative, as long as there is an ID card.

(2) the money spent in the registration process may be forgotten in some links. There must be no more than 3000 pieces of fare, including the cost of running.

(4) the companies registered above are not high-tech enterprises. They also need to be certified and run in the service centers.
