The second party A is a company established under the laws of China. It is now preparing to issue A shares and listing. The third parties shall sign this Agreement on the basis of equality, mutual benefit and consensus. Party A will entrust Party B with the relevant legal matters concerning the issuance and listing of A shares.

Fourth the scope of work of Party B shall be determined in accordance with the Interim Regulations on stock issuance and transaction management and the Interim Provisions of the Securities Regulatory Commission of the Ministry of justice on the qualification of securities legal business and qualification of law firms.

Fifth Party B lawyers should be diligent and conscientious, strictly implement the work plan, and complete the following tasks within the scope of work:

1. assist Party A in drafting asset reorganization plan and providing advice and argumentation.

2. assist Party A in drafting various declaration documents to assist in the relevant declaration procedures.

3. drafting, revising or examining the articles of Association;

4. assist in reviewing or revising prospectus;

5. confirm the legitimacy of Party A's qualification.

The sixth main rights and obligations of Party A

Eighth charges

Ninth liability for breach of contract

(two) Breach of contract

If a party or Party B has any breach of contract, he shall compensate the other party for the agency fee (percentage), and he shall also make other compensation according to law.

Tenth in any of the following circumstances, the contract may be amended.
