Engineering Planning And Design Contract

This contract is signed by the following two parties in the city of China:

Party A: Ltd.

Party B: Ltd.

Party A and Party B have reached the cost contract and jointly abide by the implementation of the overall planning documents of the project.

The first design content

Party B designs the project for the first party, and the general planning document of the project.

A. general layout of party a factory;

B. Party A's first, second, third phase analysis and planning of production scale, product and technical plan of the project.

C. Party A's technical and economic benefits analysis and prediction.

Second article Design deadline

Upon receipt of the design information provided by Party A, Party B will deliver to Party A the general planning document of the project.

Third design rewards and payment methods

A party will pay the design remuneration to RMB B, m, t, t, t, t, t, yuan, and B in two phases.

The fourth parties obligation

Fifth article Acceptance of work

A. the general planning document of the construction project of Party committee of Party A shall be examined by the expert committee of Party A.

B. The Expert Committee of Party A shall, within the working days from the date of receipt of the master plan document submitted by Party B to the party, submit an examination and comment on the project within the working day of the company's general plan documents, and the Party committee of experts shall not submit any opinions within the time limit mentioned above.

C. Party A's Committee of experts shall raise objections or opinions on the general planning documents of the project. Party B shall submit to Party A Expert Committee a review within second working days after receiving the objection or opinion of Party committee or Party committee. After Party A's expert committee's examination and approval, the general planning document of the project is not approved. Party A has the right to refuse to accept the master plan document of the project.

Sixth others

This Agreement shall have the same legal effect. The parties concerned are responsible for the implementation of relevant legal procedures.
