    The meeting stressed that to promote merger and reorganization of enterprises, we must insist on giving full play to the main role of enterprises, fully respect the wishes of enterprises, persist in market-oriented operation, promote fair competition in the market and survive the fittest, properly solve the problem of asset liability disposal and resettlement of workers, and safeguard the harmony and stability of enterprises and society.


    First, we must eliminate institutional obstacles to merger and reorganization.

    We should abolish various provisions that are not conducive to merger and reorganization of enterprises and impede fair competition, and resolutely abolish the regulations that local enterprises have promulgated to restrict the merger and reorganization of local enterprises by foreign enterprises.

    An agreement on fiscal and tax interest sharing can be signed between regions, so that the results of merger and reorganization can be shared.

    We should effectively open private sectors to industries and areas where laws and regulations are not allowed to enter, accelerate the reform of monopoly industries, and encourage private capital to enter the competitive business areas of monopoly industries through mergers and reorganization.

    The meeting urged all regions and departments concerned to strengthen organizational leadership and guidance and coordination, refine the supporting policies and measures, and conscientiously carry out the implementation of the work.

    The meeting pointed out that in 2009, the central enterprises conscientiously implemented the decision-making and deployment of the Party Central Committee and the State Council, actively responded to the international financial crisis, comprehensively implemented the plan for the adjustment and revitalization of key industries, deepened the reform of enterprises, strengthened the business vitality and innovation ability, fulfilled the social responsibility, maintained the overall smooth operation of production and operation, and played a leading role in the state-owned economy.


    At the same time, there are also some problems that affect the sustainable development of enterprises and the safety of state-owned assets. The main problems are: some enterprises have many historical debts, blind expansion, big financial risks, unstable foundation for efficiency recovery, unfocused development of the main industry, unreasonable layout structure, insufficient control and management of enterprise groups, lack of control over overseas projects, and frequent violations of laws, disciplines and regulations.

    The next step is to continue to strengthen the supervision of the board of supervisors, improve the external supervision mechanism, promote the deepening reform of central enterprises, standardize management, and ensure the preservation and appreciation of state-owned assets.
