International Sale And Purchase Contract

　 The fifteenth claim:

Within 90 days after the arrival of the goods at the port of destination, if the quality, specification or quantity of the goods do not meet the requirements of the contract, the inspection certificate issued by the Inspection Bureau of the company shall be entitled to change the quality of the new product or claim for compensation, and all the expenses (such as inspection fees, insurance and loading and unloading charges) shall be borne by the seller. However, if the claim is the liability of the insurance company or the carrier, the Seller shall be irresponsible. Within 12 months after the arrival of the goods at the port of destination, if the buyer is damaged due to poor quality during the use of the goods, the buyer shall immediately notify the seller through written notice and claim for compensation on the basis of the inspection certificate issued by the Inspection Bureau. According to the buyer's request, the Seller shall be responsible for the immediate removal of defects. If necessary, the buyer may exclude the defects by himself and the Seller shall be responsible for the defects. If the seller fails to reply to the buyer within 1 months after receiving the above request, he shall be deemed to have accepted the seller's request.

　 Sixteenth Force Majeure:

The Sellers shall not be held responsible for delay in shipment or delivery due to force irresistible causes during the manufacture and shipment of all the commodities mentioned in this contract. The Seller shall immediately notify the buyer of the above accident and, within the next 14 days, airmail a certificate issued by the government to the buyer as evidence. The Seller shall still be responsible for the necessary measures to speed up the delivery. If the accident lasts for more than 10 weeks, the buyer shall have the right to cancel the contract.

　 Seventeenth late deliveries and fines:

If the seller fails to deliver the goods on time or delay the delivery of all or part of the commodities mentioned in the contract, and the Seller agrees to pay the fine, the buyer shall agree to delay the delivery. However, the delay in delivery will not be fined because of the force irresistible causes stipulated in the sixteenth clause of this contract. The penalty shall be deducted from the payment by the drawee bank after negotiation. The penalty shall not exceed 5% of the total value of the goods delivered for delayed delivery, the penalty rate is 0.5% per 7 days, and the number of days less than 7 days is 7 days. If the seller fails to deliver the goods 10 weeks after the time of shipment stipulated in this contract, the buyer shall have the right to cancel the contract. The eighteenth Arbitration:

All disputes arising from the execution of this Agreement shall be settled amicably through negotiation. If negotiations fail to be settled, the Arbitration Commission shall be submitted to the Arbitration Commission for arbitration in accordance with the arbitration proceedings of the Commission. The arbitral award is final and binding on both parties. The cost of arbitration shall be borne by the losing party.

This contract shall become effective after signing by both parties. Each of the two original Chinese and English versions shall have one copy and two copies shall have the same effect.
