Formulate Rules And Regulations Of The Company, Matters Needing Attention

The formulation of rules and regulations should be closely combined with the situation of enterprises and strictly according to law. They should be "lawful, reasonable, comprehensive and specific". Because of the different circumstances of enterprises, only the legal problems that should be paid attention to in formulating rules and regulations should be recommended as follows:

       1.規(guī)章制度的內(nèi)容違法。許多企業(yè)制定規(guī)章制度時由于不了解或漠視現(xiàn)行的法律法規(guī)、政策而致使所制定的規(guī)章制度中的某些內(nèi)容違反法律規(guī)定而不具有法律效力，如企業(yè)依這些內(nèi)容管理員工而發(fā)生爭議，企業(yè)的行為將得不到法律支持。因此，規(guī)章制度必須內(nèi)容合法。

      2.規(guī)章制度未經(jīng)民主程序制定。許多企業(yè)制定規(guī)章制度都只是由企業(yè)的董事會或總經(jīng)理甚至是某個部門制定后即實施。但法律規(guī)定企業(yè)的規(guī)章制度應(yīng)經(jīng)職工（代表）大會通過，否則不發(fā)生法律效力。 

       3.規(guī)章制度未經(jīng)公示。許多企業(yè)的有些規(guī)章制度根本不為員工所知，這就使員工無所遵從，因此法律規(guī)定企業(yè)規(guī)章制度必須要向全體員工公示，否則不對員工產(chǎn)生效力。

      4.規(guī)章制度未及時修改、補充。許多企業(yè)規(guī)章制度制定好以后便完事大吉，但實際情況是現(xiàn)行法律不斷推陳出新，制訂當(dāng)時屬合法的內(nèi)容可能現(xiàn)在已不合法。因此企業(yè)應(yīng)當(dāng)自行或委托有關(guān)專家對已有的規(guī)章制度進行定期或不定期檢查，及時修改、補充相關(guān)內(nèi)容。
